Referral Program Terms & Conditions

The Program is open to any registered VesperVault user with an active account in good standing. There is no requirement to hold a paid subscription in order to participate as a referrer.

You are not eligible to participate if your account has been suspended, terminated, or flagged for abuse. We reserve the right to verify eligibility at any time and to disqualify participants who do not meet these requirements.

Upon creating a VesperVault account, you are automatically assigned a unique referral code in the format VV-XXXXX. You may share this code with anyone you wish to refer to VesperVault.

• Your referral code is personal and non-transferable.
• You may not sell, auction, or otherwise transfer your referral code to another person.
• Referral codes must be entered by the referred user during signup or before their first payment. Codes cannot be applied retroactively.
• Each new user may only use one referral code.

When a new user signs up using your referral code, they receive a 10% lifetime discount on all paid VesperVault subscriptions. This discount applies:

• From the referred user's very first payment.
• For as long as the referred user maintains an active paid subscription.
• On both Monthly and Annual plans, including renewals.
• The discount does not apply to the Free Tier.

We reserve the right to modify the discount percentage for new referrals with 30 days' notice. Referred users who are already receiving a discount will continue to receive their original discount rate for existing subscriptions.

As a referrer, you earn a commission on each payment made by a user you referred. Your commission rate depends on your current tier, which is determined by the number of active, non-refunded referrals you have accumulated.

Cleared commissions are paid out manually by VesperVault via PayPal or Stripe, at our discretion. The following conditions apply:

• Minimum payout threshold: You must accumulate at least USD $25 in cleared commissions before a payout will be issued.
• Forfeiture: If your cleared commission balance does not reach the $25 minimum threshold within 12 months of your first cleared commission, the balance will be forfeited and reset to zero.
• Payout email: You must provide a valid payout email address in your VesperVault account settings before a payout can be issued. Payouts cannot be made to unverified or invalid addresses.
• Payout timing: Payouts are processed manually on a periodic basis. We do not guarantee a specific payout schedule.
• Taxes: You are solely responsible for any taxes, duties, or levies applicable to commissions you receive. VesperVault is not responsible for withholding, reporting, or remitting any taxes on your behalf unless required by applicable law.
• Currency: All commissions and payouts are denominated in US Dollars (USD).

Participation in the Program must be genuine and in good faith. The following activities are strictly prohibited and may result in immediate disqualification, forfeiture of all pending and cleared commissions, and account termination:

• Creating fake or duplicate accounts to generate fraudulent referrals.
• Referring yourself using secondary accounts.
• Using bots, scripts, or automated tools to generate referrals.
• Misrepresenting VesperVault or its products in your referral activities.
• Spamming referral codes through unsolicited messages or emails.
• Purchasing signups, paying others to sign up, or any other artificial inflation of referral counts.
• Any activity that we reasonably determine to be abusive, deceptive, or in violation of applicable law.

We reserve the right to investigate any suspicious activity and to reverse commissions that we determine were generated through prohibited means. Our decisions in these matters are final.

We reserve the right to modify, suspend, or terminate the Program or these Referral Terms at any time. Where practicable, we will provide at least 30 days' notice of material changes via email or in-app notification.

If the Program is terminated, any cleared commissions that have already met the minimum payout threshold at the time of termination will be paid out within a reasonable period. Pending commissions that have not yet cleared will be forfeited.

Commission rates, tier thresholds, discount percentages, and payout minimums may be updated from time to time. Changes will apply to commissions generated after the effective date of the change and will not affect previously cleared commissions.

Participation in the Program does not guarantee any earnings. Commission amounts depend entirely on the number of valid referrals you generate and the subscription plans chosen by referred users. VesperVault makes no representations or warranties regarding the amount of commissions you may earn.

Your participation in the Program does not create an employment, partnership, agency, joint venture, or franchise relationship between you and VesperVault. You participate as an independent individual and have no authority to bind VesperVault to any agreement or obligation.

These Referral Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Referral Terms or the Program shall first be attempted to be resolved informally by contacting us at support@vespervault.app. If informal resolution is not achieved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.
